1.Engineer and Engineers RepresentativeThe duties and authority of the engineerand engineers representative1.1Engineer's Duties and Authority 1.1.1.The Engineer shall carry out the duties specified in the Contract. 1.1.2.The Engineer may exercise the authority specified in or necessarily to beimplied from the Contract, provided, however, that if the Engineer is required,under the terms of his appointment by the Employer, to obtain the specificapproval of the Employer before exercising any such authority, particulars ofsuch requirements shall be set out in Part II of theseConditions. Provided further that any requisite approval shall be deemed tohave been given by the Employer for any such authority exercised by theEngineer. 1.1.3.Except as expressly stated in the Contract, the Engineer shall have noauthority to relieve the Contractor of any of his obligations under theContract. 1.2Engineer's Representative TheEngineer's Representative shall be appointed by and be responsible to theEngineer and shall carry out such duties and exercise such authority as may bedelegate to him by the Engineer under Sub-Clause1.3. 1.3Engineer's Authority to Delegate TheEngineer may from time to time delegate to the Engineer's Representative any ofthe duties and authorities vested in the Engineer and he may at any time revokesuch delegation. Any such delegation or revocation shall be in writing andshall not take effect until a copy thereof has been delivered to the Employerand the Contractor. Any communication given by the Engineer's Representative tothe Contractor in accordance with such delegation shall have the same effect asthough it has been given by the Engineer. provided that :
1.3.1. Any failure of the Engineer’sRepresentative to disapprove any work, materials or Plant shall not prejudicethe authority of the Engineer to disapprove such works, materials or Plant andto give instructions for the r 1.3.2. Ifthe Contractor questions any communication of the Engineer's Representative hemay refer the matter to the Engineer who shall confirm, reverses or vary thecontents of such communication. 1.4Appointment of Assistants TheEngineer or the Engineer's representative may appoint any number of person toassist the Engineer's Representative in the carrying out of his duties underSub-Clause 2.2. He shall notify to the Contractor the names, duties and scopeof authority of such person. Such assistants shall have no authority to issueany instructions to the Contractor save in so far as such instructions may benecessary to enable them carry out their duties and to secure their acceptanceof materials, Plant or workmanship as being in accordance with the Contract,and any instructions given by any of them for those purposes shall be deemed tohave been given by the Engineer's representative. 1.5Instructions in Writing Instructionsgiven by the Engineer shall be in writing, provided that if for any reason theEngineer considers it necessary to give any such instruction orally, theContractor shall comply with such instruction. Confirmation in writing of suchoral instruction given by the Engineer, whether before or after the carryingout of the instruction, shall be deemed to be an instruction within the meaningof this Sub-Clause. Provided further that if the Contractor, within 7 days,confirms in writing to the Engineer any oral instruction of the Engineer andsuch confirmation is not contradicted in writingwithin 7 days by the Engineer,it shall be deemed to be an instruction of the Engineer. The provisions of thisSub-Clause shall equally
apply toinstructions given by the Engineer's Representative and any assistants of theEngineer or the Engineer's Representative appointed pursuant to Sub-Clause 1.4.1.6Engineer to Act impartially Wherever,under the Contract, the Engineer is required to exercise his discretion by : 1.6.1.Giving his decision, opinion or consent, or 1.6.2.Expressing his satisfaction or approval, or 1.6.3.Determining value, or 1.6.4.Otherwise taking action which may affect the rights and obligations of the Employer or the Contractor he shallexercise such discretion impartially within the terms of the Contract andhaving regard to all the circumstances. Any such decision, opinion, consent,expression of satisfaction, or approval, determination of value or action maybe opened up, reviewed or revised as provided in Clause 67.
2.Assignment andSubcontractingThe change of the duties and authority2.1Assignment of Contract TheContractor shall not, without the prior consent of the Employer (which consent, notwithstanding the provisionsof Sub-Clause 1.5, shall be at the sole discretion of the Employer), assign theContract or any part thereof, or any benefit or interest therein or thereunder,otherwise than by : 2.1.1. Acharge in favour of the Contractor's bankers of any monies due or to become dueunder the Contract, or 2.1.2.Assignment to the Contractor's insurers (in cases where the insurers havedischarged the Contractor's loss or liability) of the Contractor's right toobtain relief against any other party liable. 2.2Subcontracting TheContractor shall not subcontract the whole of the Works. Except where otherwiseprovided by the Contract, the Contractor shall not subcontract any part of theWorks without the prior consent of the Engineer. Any such consent shall notrelieve the Contractor from any liability or obligation under the Contract andhe shall be responsible
for the acts,defaults and neglects of any Subcontractor, his agents, servants or workmen as
fully as if they were the acts, defaults orneglects of the Contractor, his agents, servants or workmen. Provided hat theContractor shall not be required to obtain such consent for :2.2.1.the provision of labour, or 2.2.2.the purchase of materials which are in accordance with the standards specifiedin the Contract, or2.2.3.the subcontracting of any part of the Works for the Subcontractor is named inthe Contract. 2.3Assignment of Subcontractors' Obligations In theevent of a Subcontractor having undertaken towards the Contractor in respect ofthe work executed, or the goods, materials, Plant or
services supplied by such Subcontractor, anycontinuing obligation extending for a period exceeding that of the DefectsLiability Period under the Contract, the Contractor shall at any time, afterthe expiration of such Period, assign to the Employer, at the Employer’srequest and cost,
the benefit of suchobligation for the un-expired duration thereof.3.Contract DocumentsThe consist of the contractdocuments3.1Language/s and Law There isstated in Part II of these Conditions : 3.1.1.the language or languages in which the Contract documents shall be drawn up,and 3.1.2.the country or state the law of which shall apply to the Contract & according to which the Contract shall beconstrued. If the said documents are written in more than one language, thelanguage according to which the Contract shall be construed and interpreted isalso stated in Part II of these Conditions, being therein designated the"Ruling Language". 3.2Priority of Contract Documents The severaldocuments forming the Contract are
to betaken as mutually explanatory of one another,but in case of ambiguities or discrepancies the same shall be explained andadjusted by theEngineer who shall thereupon issue to the Contractor instructions thereon andin such event, unlessotherwise provided in the Contract, the priority of the documents forming theContract shall be asfollows : 3.2.1.The Contract Agreement (if completed) ; 3.2.2.The Letter of A 3.2.3.The T 3.2.4.Part II of these C 3.2.5.Part I of these C and 3.2.6.Any other document forming part of the Contract.3.3Custody and Supply of Drawings and Documents TheDrawings shall remain in the sole custody of the Engineer, but two copies thereofshall be provided to the Contractor free of charge. The Contractor shall makeat his own cost any further copies required by him. unless it is strictlynecessary for the purpose of the Contract, the Drawings, Specification andother documents provided by the Employer or the Engineer shall not, without theconsent of the Engineer, be used or communicated to a third party by theContractor. Upon issue of the Defects Liability Certificate, the Contractorshall return to the Engineer all Drawings, Specification and other documentsprovided under the Contract. The Contractor shall supply to the Engineer fourcopies of all Drawings, Specification and other documents submitted by theContractor and approved by the Engineer in accordance with Clause 7, together witha reproducible copy of any material which cannot be reproduced to an equalstandard by photocopying. In addition the Contractor shall supply such furthercopies of such Drawings, Specification and other documents as the Engineer mayrequest in writing for the use of the Employer, who shall pay the cost thereof.3.4 Oneof Copy of Drawings to be Kept on Site One copyof the Drawings, provided to or supplies by the Contractor as aforesaid, shallbe kept by the Contractor on the Site and the same
shall at all reasonable times be availablefor inspection and use by the Engineer and by any other person authorised bythe Engineer in writing.3.5Disruption of Progress TheContractor shall give notice to the Engineer, with a copy to the Employer,whenever planning or execution of the Works is likely to be delayed ordisrupted unless any further drawing or instruction is issued by the Engineerwithin a reasonable time. The notice shall include details of thedrawing or instruction required and of why and by when it is required and of any delay or disruption likely to besuffered if it is late.3.6Delays and Cost of Delay of Drawings If, byreason of any failure or inability of the Engineer to issue, within a timereasonable in all the circumstances, any drawing or instruction for whichnotice has been given by the Contractor in accordance with Sub-Clause 6.3, theContractor suffers delay and/or incurs costs then the Engineershall, after due consultation with the Employer and the Contractor, determine :3.6.1.Any extension of time to which the Contractor is entitled under Clause 44, and 3.6.2.The amount of such costs, which shall be added to the Contract Price, and shallnotify the Contractor accordingly, with a copy to the Employer. 3.7Failure by Contractor to Submit Drawings If thefailure or inability of the Engineer to issue any drawings or instructions iscaused in whole or in part by failure of the Contractor to submit Drawings,Specification or other documents which he isrequired to submit under the Contract, the Engineer shall take such failure bythe Contractor into account when making his determination pursuant toSub-Clause 6.4.3.8Supplementary Drawings and Instructions TheEngineer shall have authority to issue to the Contractor, from time to time,such supplementary Drawings and instructions as shall be necessary for thepurpose of the proper and adequate execution and completion of the Works andthe remedying of any defects therein. The Contractor shall carry out and bebound by the same. 3.9Permanent Works Designed by Contractor Where theContract expressly provides that part of the Permanent Works shall be designedby the Contractor, he shall submit to the Engineer, for approval : 3.9.1.such drawings, specifications, calculations and other information as shall be necessary to satisfy the Engineer asto the suitability and adequacy of that design, and 3.9.2.operation and maintenance manuals together with drawings of the Permanent Worksas completed, in sufficient detail to enable the
Employer to operate, maintain, dismantle,reassemble and adjust the Permanent Works incorporating that design. The Worksshall not be considered to be completed for the purposes of taking over inaccordance with Clause 48 until such operation and maintenance manuals,together with drawings on completion, have been submitted to and approved bythe Engineer. 3.10Responsibility Unaffected by Approval Approvalby the Engineer, in accordance with Sub-Clause 7.2, shall not relieve theContractor of any of his responsibilities under the Contract.
4.General ObligationsThe duties and authoritybetween the contracts and the owner4.1Contractor's General Responsibilities TheContractor shall, with the due care and diligence, design (to the extentprovided for by the Contract), execute and complete the Works and remedy anydefects therein accordance with the provisions of the Contract. The Contractorshall provide all superintendence, labour, materials, Plant, Contractor'sEquipment and all other things, whether of a temporary or permanent nature,required in and for such design, execution, completion and remedying of anydefects, so far as the necessity for providing the same is specified in or isreasonably to be inferred from the Contract. 4.2 Site Operations and Methods ofConstruction TheContractor shall take full responsibility for the adequacy, stability andsafety of all Site operations and methods of construction. Provided
that the Contractor shall not be responsible(except as stated hereunder or as may be otherwise agreed) for the design orspecification of Permanent Works, or for the design or specification of anyTemporary Works nor prepared by the Contractor. Where the Contract
expressly provides that part of the PermanentWorks shall be designed by the Contractor, he shall be fully
responsible for that part of such Works,notwithstanding any approval by the Engineer.4.3 Contract Agreement TheContractor shall, if called upon so to do, enter into execute the ContractAgreement, to be prepared and completed at the cost of the Employer, in theform annexed to these Conditions with such modification as may be necessary.4.4 Performance Security If theContract requires the Contractor to obtain security for his proper performanceof the Contract, he shall obtain and provide to the Employer such securitywithin 28 days after the receipt of Letter of Acceptance, in the sum stated inthe Appendix to Tender. When providing such security to the Employer, theContractor shall notify the Engineer of so doing. Such security shall be in theform annexed to these Conditions or in such other form as may be agreed betweenthe Employer and the Contractor. The institution providing such security shallbe subject to the approval of the Employer. The cost of complying with therequirements of the Clause shall be borne by the Contractor, unless theContract otherwise provides. 4.5 Period of Validity of Performance SecurityThe performance security shall be valid until theContractor has executed and completed the Works and remedied any defectstherein accordance with the Contract. No claim shall be made against suchsecurity after the issue of the Defects Liability Certificate in accordancewith Sub-Clause 62.1 and such security shall be returned to the Contractorwithin 14 days of the issue of the said Defects Liability Certificate. 4.6 Claims under Performance Security Prior tomaking a claim under the performance security the Employer shall, in everycase, notify the Contractor stating the nature of the default in respect ofwhich the claim is to be made.4.7 Inspection of Site TheEmployer shall have made available to the Contractor, before the submission bythe Contractor of the Tender, such data on hydrological and sub-surfaceconditions as have been obtained by or on behalf of the Employer from
investigations undertaken relevant to theWorks but theContractor shall be responsible for his own interpretation thereof.TheContractor shall be deemed to have inspected and examined the Site and itssurroundings and information available in connection therewith and to havesatisfied himself (so far as is practicable, having regard to considerations ofcost and time) before submitting his Tender, as to : 4.7.1.the form and nature thereof, including the sub-surface conditions, 4.7.2.the hydrological and climatic conditions, 4.7.3.the extent and nature of work and materials necessary for the execution andcompletion of the Works and remedying of any defects therein, and 4.7.4.the means of access to the Site and accommodation he may require and, ingeneral, shall be deemed to have obtained all necessary information, subject asabove mentioned, as to risks, contingencies and all other circumstances whichmay influence or affect his Tender. The Contractor shall be deemed to havebased his Tender on the data made available by the Employer and on his owninspection and examination, all as aforementioned

1.6 工程师要行为公正
凡是合同要求工程师以下列方式行使职权时:
1.6.1发表决定,表示意见或同意,或
1.6.2表示满意或批准,或
1.6.3确定价值,或
1.6.4所采取的行动可能影响业主或承包人的权利和义务时,工程师应根据合同规定,考虑各方面情况,公正地行使上述职权。任何上述决定,意见、同意、表示满意、批准、确定价值或采取行动,都可以按照67条规定予以公开、复查或修改。2.转让和分包合同转让与分包后权利义务的转变
2.1 合同的转让
没有业主的事先同意(尽管有第1.5款规定,这种同意必须由业主自行决定),承包人不得将本合同或其任何部分,或本合同中及名下的任何收益和利益转让给他人,但下列情况除外:
2.1.1按合同规定支付给承包人指定银行托管的属于工将属于承包人的任何款项;或

2.2.1提供劳务,或
2.2.2按合同规定的标准购买材料,或
2.2.3将工程的任何部分分包给合同已指名的分包人。
2.3 分包人的义务转让
如果某一分包人已对承包人承担了工程施工或提供货物、材料、设备及服务的责任期限超过了合同规定的缺陷责任期时,则在该缺陷责任期终止后,承包人应根据业主的要求,由业主提供手续费,向业主转让分包人在超出缺陷责任期的剩余责任期限承担的义务而带来的利益。
3合同文件合同文件中的语言法律及其内容的优先次序
3.1 语言和法律
在合同第Ⅱ部分中写明:
3.1.1用以拟定该合同的一种或几种语言,以及
3.1.2适用于该合同,并据此对该合同进行解释的法律是何国或何州的法律。如果上述合同文件是用一种以上的语言拟定的,则据此解释和说明该合同的那种语言也应在本合同第Ⅱ部分中予以指定,作为本合同的“主导语言”。
3.2 合同文件的优先次序
组成合同的几个文件应该认为是彼此互为解释的,但在出现含糊或互不一致的情况下,工程师应该向承包人发出有关指令,以便对此做出解释和调整。在这种情况下,除非合同另有规定,组成合同的几个文件的优先次序应依次如下:
3.2.1合同协议书(如果已签订);
3.2.2中标通知书;
3.2.3投标书;
3.2.4本合同条件第1部分;
3.2.5本合同条件第1部分;及
3.2.6构成本合同组成部分的其他任何文件。
图纸和文件的保管与提供
图纸应仅由工程师单独保管,但免费提供两复印件给承包人。
承包人需要更多的复印件时,应自费复制。除非为了本合同目的而需要外,业主或工程师提供的图纸、技术规范和其他文件,未经工程师的同意,承包人不得转给第三方使用或与第三方交流。发给缺陷责任期终止证书时,承包人应将合同规定提供的所有图纸、技术规范和其他文件退还给工程师。
承包人应向工程师提供根据第7条规定由承包人提交,并经工程师批准的全部图纸、技术规范和其他文件的复印件四份,同时对无法用复印机复制达到同等标准的资料提供一份可复制的副本。此外,工程师可以根据业主的需要,书面要求承包人提供更多的这类图纸、技术规范和其他文件的复印件,费用由业主自理。
一份图纸保存在现场
向承包人提供或由承包人提供的图纸,应由承包人在现场保存一份,以做便随时提供给工程师和任何由工程师书面委派的其他人员检查和使用。
3.5 工程进度干扰
工程师如果未在合理的时间发出进一步需要的图纸和指令,就有可能延误或干扰工程的计划和进度,则承包人应向工程师发出通知,并将一份副本呈交业主。该通知应包括所要求的图纸或指令,需要的进帐和时间,以及如果延误则有可能造成工程进度的拖延或干扰等详细说明。
3.6 图纸延误和延误所造成的费用
 如果由于工程师未曾或未能按照第6.3款规定在合理时间内发出承包人按上条通知所要求的图纸或指令,而使承包人蒙受进度延误和(或)造成费用的增加,则工程师在与业主和承包人协商后,要提出以下决定:
3.6.1按照第44条规定,承包人可以延长工期;以及
3.6.2在合同价格上增加的上述费用金额;并且要相应地通知承包人,并将一份副本呈交业主。
3.7 承包人未能提交图纸
 如果工程师不能发出图纸或指令,其全部或部分原因是由于承包人未能提交按照合同规定应该提交的图纸、技术规范或其他文件,工程项目在根据第6.4款规定提出决定时,应该将承包人这种失误因素考虑在内。
3.8 补充图纸和指令
 为使工程正确施工、完成及修复本工程内的缺陷,工程师应有权随时向承包人发出所需的补充图纸和指令。承包人应按此执行,并受其约束。
3.9 承包人设计的永久工程
 合同明文规定由承包人设计部分永久工程时,则承包人应将以下文件提交给工程师批准:
3.9.1为使工程师对该设计的适用性和完备程度感到满意而需要的图纸、技术规范、计算书和其他资料;以及
3.9.2已竣工的永久工程的使用和维护手册及永久工程的竣工图纸、其详细程度应使业主能够使用、维护、拆卸、重装及调整该永久工程。只有当上述使用维护手册与竣工图纸一起交出并经工程师批准,才能认为该工程已竣工,可按第48条进行接收。
3.10 不受批准影响的责任
 工程师根据第7.2款规定所发的批准并不解除承包人按合同应负的责任。4一般义务承包人与业主之间相互的权利义务
4.1 承包人的一般责任
根据合同的各项规定,承包人要细心和勤奋的进行设计(在合同规定的范围内),实施和完成修复工程及修复工程任何缺陷,承包人应当提供上述设计、实施和完成工程及其缺陷修复所需的全部监督管理,劳力、材料、设备、承包人装备和其他物品,不论是临时性或永久性的,只要上述各项在合同内有规定或暗示的要求,皆应及时提供。
4.2 现场作业和施工方法
承包人应对全部现场作业和施工方法的适应性、稳妥性和完全性完全负责。但是,承包人对不是他所制订的永久工程的设计或规范,或者任何临时工程的设计或规范,不应承担责任(但合同中写明的或可能另有协议者除外)。如果合同明确规定部分永久工程应由承包人设计、则尽管有工程师的任何批准,承包人仍应对该部分永久工程完全负责。
4.3 合同协议书
如果业主有此要求,承包人应同意签署并履行合同协议书,其格式需按照本合同条件所附的格式,必要时可作修改。准备与完成合同协议书的费用同业主承担。
4.4履约担保
如果合同要求承包人为其正常履行合同取得担保时,承包人应在收到中标通知书后28天内,按投标书附件中注明的金额取得担保,并将担保证书提交给业主。承包人向业主提交担保证书时,应将此事通知工程师。担保证书应采用本合同条件附件中的格式或业主和承包人双方同意的其他格式。提供担保的单位应由业主批准。除非合同另有规定,执行本款时所需的费用应由承包人承担。
4.5 履约担保的有效期
履约担保的有效期,要到承包人按照合同要求实施和完成工程并修复工程中任何缺陷之后为止。根据第62.1款规定发出缺陷责任终止证书后、即不应对此项担保再提出任何索赔。此担保证书应在上述缺陷责任终止证书发出14天内归还给承包人。
4.6 履约担保项下的索赔 
业主在对履约担保提出索赔要求之前,在任何情况下都应通知承包人说明有关此索赔要求所涉及承包人违约的性质。
4.7 现场考察
 在承包人送交投标书之前,业主应向承包人提供由业主或业主代表根据有关该项工程的勘察所取得的水文及地表以下状况的资料,但是承包人应对他自己就上述资料的解释负责。应该认为承包人对现场和其周围环境以及与之有关的可得到的资料已经进行了考察和检查,并在投标前对以下几点已经自行查明(已考虑到费用和时间的实际可能):
4.7.1现场的地形和性质,包括地表以下的状况;
4.7.2水文和气候条件;
4.7.3实施和完成工程和修复工程内任何缺陷所需做的工作和材料的性质和范围;以及
4.7.4进入现场的方法和承包人可能需要的住宿供应条件。总之应认为承包人对止述可能对其投标有影响或起作用的风险,意外及其所有情况必要的资料。
应认为,承包人的投标书是以业主已经备有的资料和他自己进行的所有上述考察和检查为依据的。
